ACP terms of use. Version website-application-2026-10-26-1-en. Applications are subject to review and do not activate access.
1. Supplier, Client and subject matter
1.1. The supplier of the ACP platform is Keagan Solutions EOOD, UIC 175203784, with its registered office and management address at Sofia, Zapaden Park 82, represented by Ivan Tanev, contact email: info@keagansolutions.com, referred to as the Supplier.
1.2. The Client is the business or person entitled to use ACP for its business activities, represented by a duly authorised user. The user confirms their authority to act on behalf of the Client and to provide the data being processed.
1.3. ACP is designed specifically for Bulgarian accounting. The English-language interface does not change this scope. ACP provides technical tools for entering, processing, viewing, downloading and limited storage of documents and accounting information. The service is used on a self-service basis. Additional paid features are separate from the free scope and do not mean that the Supplier undertakes the Client's accounting services.
1.4. Unless expressly agreed in a separate contract, the Supplier is not the Client's accountant, preparer of financial statements, auditor, tax adviser or legal adviser and does not undertake to monitor its deadlines, review every transaction, file returns, sign documents or make payments.
1.5. The free scope includes processing and electronic storage of documents for the most recent 18 months and basic accounting functions for one company. While this scope is offered as a free service and is available, no fee is charged for its use. This is a promise that the described free scope has no charge, rather than a guarantee of continuous availability, error-free operation, a particular recovery time or the indefinite existence of the platform.
1.6. To the extent permitted by applicable law, the Supplier may change, restrict, temporarily suspend or discontinue the free service at any time, including without advance individual notice where such notice is not mandatory. Reasons may include technical changes, maintenance, security, misuse, regulatory requirements or discontinuation of the free model or platform. Mandatory statutory periods for notice, access, receipt or portability of data remain applicable. No fees are charged retrospectively for free use already made; paid services are ordered separately.
1.7. Paid additions, automations and other extra features are described and requested within the relevant ACP panel or by contacting info@keagansolutions.com. The specific service, price, period and applicable terms are agreed before an order is placed. Displaying a future feature or sending an enquiry does not by itself constitute an accepted order. Constant availability of every addition, error-free operation and the indefinite existence of the platform are not promised. An accepted paid order is performed within the agreed scope or the refund under clause 1.8 applies.
1.8. If a prepaid service is not provided, the Supplier refunds the amount paid for the unprovided service within 7 calendar days of the date on which the service should have been provided, or of the Supplier's earlier refusal to provide it. If the platform is discontinued, the refund period for unprovided prepaid services starts on discontinuation. The refund is monetary, rather than a compulsory credit for future use. General provisions disclaiming guaranteed availability do not override this obligation or other mandatory statutory rights.
2. The Client's independent actions and obligations
2.1. The Client organises its accounting activities, appoints responsible persons and arranges the necessary professional review. It is responsible for the lawfulness, accuracy, completeness, legibility, timeliness and correct allocation of the information provided to the relevant company, person, document, month and year.
2.2. The Client checks that each file has uploaded successfully, that it is the correct file and that its contents and attachment correspond to the transaction. A filename, successful upload, automatic recognition or appearance in a list does not establish accuracy or completeness.
2.3. The Client checks entered and calculated amounts, dates, currencies, tax grounds, counterparties, personnel, bank accounts and results. It corrects identified errors using the prescribed procedure and arranges the filing of any required corrections with the competent authorities.
2.4. The Client arranges signing, filing and payment through the relevant external systems, verifies receipt and acceptance and retains the confirmations. A downloaded file, generated payment order or status in ACP does not by itself mean that a return has been filed or accepted, a liability has been paid or a statutory requirement has been met.
2.5. The Client selects the people with access, grants only the necessary permissions, protects authentication credentials and promptly revokes unnecessary access. Access to personnel documents, salaries and complete archives is granted only to authorised persons.
3. Automated processing
3.1. Automatic suggestions, rules, calculations, accounting entries, reports and exports are software functions. They depend on the data provided, the applicable version, the supported cases and the user's choices. They do not replace professional judgement or guarantee a correct result in every factual and legal situation.
3.2. The Client checks the result before confirming, closing a period, signing, filing, paying or making any other use with legal consequences. An automatic suggestion does not constitute the Supplier's separate approval of the particular transaction.
3.3. If future artificial intelligence or document recognition functions are provided separately, additional terms apply to their scope, required human oversight and permitted actions. ACP 2.0 does not provide AI accounting services.
4. File access and hosting periods
4.1. Files are provided through secure download links in ACP after access permissions have been checked. No FTP service is provided.
4.2. Free online processing and storage cover the latest 18 months under clauses 1.5 and 1.6. This period defines the scope of the free service, not the Client’s statutory document retention period, and does not guarantee uninterrupted access.
4.3. Paid extended hosting provides search and access to older document history in ACP for the agreed period and volume. Specific periods, limits, price, renewal and termination conditions are stated in the accepted order. It does not change individual users’ permissions or mean indefinite storage.
4.4. Operational data for the current active month or year may remain necessary for work regardless of an individual document's age. The operational database, document hosting and statutory archive serve different purposes. Free availability is governed by clauses 1.5 and 1.6; specifically agreed paid services and refunds of prepaid amounts are governed separately.
4.5. After the applicable period expires or the service ends, access and subsequent storage are governed by applicable law, the specific order and the data processing agreement. A permanently operating archive portal after the platform stops is not promised. Where law or contract requires notice, a period for extraction, delivery or return of data, these requirements are observed. Stopping the service does not automatically mean deleting data that must be retained.
5. Independent archives and downloads
5.1. The Client regularly downloads, checks and retains the necessary documents and monthly and annual archives on suitable media outside ACP, according to the volume and importance of its work. The Client does not postpone independent backups until the service ends and does not rely on future notice or a guaranteed final opportunity to download. It ensures the legally required retention, accessibility, legibility and handover of accounting and employment information for the relevant periods.
5.2. The Client checks that the archive opens, contains the necessary documents and that the listed contents correspond to its records. It does not rely solely on a Download button or download history as evidence that it has a working independent copy.
5.3. The Supplier's technical backups serve the agreed operational purposes. Unless expressly agreed otherwise, they are not an individual statutory archiving service for the Client and do not remove its obligation under clause 5.1. The security and service recovery obligations actually agreed remain applicable.
5.4. Restoration from a client archive requires a supported format, successful verification, sufficient permissions and no conflict with current data. Restoring history for review does not automatically reopen a closed year or undo newer transactions. Additional work, migration between versions and applicable fees require a separate written agreement before the service is performed.
5.5. While the relevant platform functions are operating and the data are available, ACP allows supported document and report archives to be downloaded. There is no guarantee that every archive will be accessible at every moment, automatically sent by email or remain accessible after the service stops. Download capability is not an indefinite storage service and does not remove the Client's obligation to keep its own verified copies. Mandatory rights to receive data and obligations to return them remain in force.
6. Termination and relocation
6.1. When use ends or data are moved to another server or database, the Client appoints an authorised person to receive and check the full archive and chooses a location for its subsequent storage.
6.2. Client data are removed from the operational database upon a documented request or another applicable basis, after the archive has been verified and the agreed handover and deletion conditions have been met. When data are moved, the receiving party confirms verification and restoration before the source is removed.
6.3. Passwords, active sessions and old access permissions are not restored automatically. Current permissions and new login credentials are established after relocation.
7. Personal data and confidentiality
7.1. The parties determine their actual roles in personal data protection. Where the Supplier processes data on behalf of the Client, a separate agreement under Article 28 of Regulation (EU) 2016/679 is concluded, describing the processing, security measures, subprocessors, assistance, incidents and return or deletion of data.
7.2. The Client ensures the necessary legal basis for providing personal data and informing affected individuals. The Supplier fulfils its own applicable data protection, confidentiality and security obligations. These terms do not transfer those obligations entirely to the Client.
7.3. Privacy information is available in the website’s Privacy section. Information about necessary service providers, recipients and the applicable processing agreement is provided before the relevant processing starts and on request at info@keagansolutions.com. Application retention periods are set out in the privacy information; client data, archive and technical-copy retention are governed by their separate purposes and the applicable agreement.
7.4. EGN, foreign national personal number, identity document number and date of birth are processed only for a specific, necessary purpose and on an established legal basis. They are not routinely required in an initial ACP application. Identity is established through the verified qualified electronic signature and a separate check of authority to represent the company. An additional identifier is requested only where there is a justified need, with information about why it is needed, who will receive it and how long it will be retained. EGN is not a password or the sole means of remote identification.
7.5. Copies of identity documents are not collected for an ordinary access application. An exception is permitted only on a specific statutory basis under Article 25g of the Bulgarian Personal Data Protection Act. A signed document or QES certificate may contain an identifier; this does not authorise its use for other purposes. Data in an electronically signed file are not removed after signing in a way that invalidates the signature; where unnecessary data are present, a new appropriate document is prepared and signed.
7.6. Applications, signatures and powers of attorney are made available only to authorised reviewers and necessary suppliers bound by contract. They are not published on the website or included in page addresses, email subjects, analytics events or diagnostic logs. Where sending them as email attachments is agreed, assessed measures apply to transport, mailbox protection, access and removal of copies. TLS alone does not guarantee protection of every subsequent copy.
7.7. The privacy policy identifies the controller, purposes and legal bases by category of individuals, recipients, transfers outside the EEA, separate retention periods for incomplete, rejected and approved applications and evidence, rights and contact details for the Bulgarian Commission for Personal Data Protection. A checkbox acknowledging the terms is not consent to unnecessary collection of identifiers. Statutory rights and the Supplier's own obligations remain in force regardless of the contractual allocation of responsibilities.
8. Allocation and limitation of liability
8.1. To the extent permitted by law, the Supplier is not liable for consequences caused by incorrect, incomplete, late or unlawfully provided Client data; incorrectly attached files; results not checked by the Client; unfiled returns; unpaid amounts; missed deadlines; or failure to keep an independent archive, insofar as those consequences are not caused by a breach by the Supplier.
8.2. Providing an automated function does not by itself mean assuming accounting or advisory responsibility for the Client's decisions. This provision does not release the Supplier from liability for its own failure to perform expressly agreed technical services where the law provides for such liability.
8.3. The scope and amount of liability for a specific breach are determined by applicable law and the expressly agreed obligations. These terms do not introduce a general monetary liability cap. A separate agreement cannot exclude liability or rights that the law does not permit to be limited.
8.4. Nothing in these terms excludes or limits liability for intent, gross negligence or any other liability whose exclusion or limitation is prohibited by applicable law. Mandatory rights of data subjects or other protected persons are not restricted.
8.5. The Supplier does not assume responsibility for the Client's business decisions, accounting policies, tax positions or unlawful instructions solely because they are entered or carried out through ACP. The Client organises professional oversight, statutory archives and access for its employees and accountants. Unless separately and expressly agreed, continuous or error-free operation in every environment and recovery from every Client error are not promised. This does not override agreed functions, retention periods, security or obligations to remedy non-performance.
8.6. Data loss or unavailability is assessed according to its cause, the obligations undertaken and applicable law. The Client's lack of an independent copy does not automatically release the Supplier from its own breach. To the extent permitted by law, no liability is accepted for losses caused solely by unlawful actions of the Client or third parties outside the Supplier's responsibility and reasonable control. A cyberattack does not by itself establish an absence of liability. Applicable duties to respond, assist and notify in an incident remain in force.
9. Acceptance, versions and contact
9.1. Before starting to use the service, the Client is given an opportunity to review and download the current terms, applicable price list, privacy policy and data processing agreement.
9.2. Acceptance is recorded with the document versions, date, company and identity/authority of the accepting person. Changes to the free service are governed by clause 1.6. Changes to accepted paid orders, mandatory notices and data rights are governed by applicable law and contract; publishing new text does not override those rights retrospectively.
9.3. For archive requests, corrections, termination and incidents, contact info@keagansolutions.com. Identify the company, its EIK and your request; do not send an identity card or unnecessary personal identifiers. Identity and authority are checked before data are provided or changed. Bulgarian law applies, subject to mandatory rules and rights. Disputes are heard by the competent court under applicable law.
9.4. The access application contains the selected panel, company and applicant details, the version of the attached terms and a declaration of authority to represent the company. The signed application and any required power of attorney are checked by an operator. A successful upload or sent email does not mean approval, a verified QES, a concluded contract or granted permissions. Where an authorised accountant submits the application, the power of attorney must cover the relevant actions in ACP; authority solely for the NRA is not automatically considered sufficient.
